This show is a Rain or Shine Event. There are NO REFUNDS for tickets and/or booth spaces under any circumstances beyond 24 hours of date/time of purchase with the exception of a Covid-19 State or Federal restriction. Refunds in this case must be requested within 72 hours of an announced rescheduling. 100% of the Ticket Price is refundable prior to 24 hours from date/time purchased although the shipping/processing fees are NON-refundable. In the event of a Covid-19 statewide shutdown, PNI - Piney Hollow Investment (Show Promoter) reserves the right to reschedule the event(s) to the next available date within 13 months, at their sole discretion. Ticket(s) and/or Booth(s) clients agree to waive their rights to levy any and all liabilities against PNI, to defend PNI against and to hold PNI harmless, for any reason, which shall extend to and include any and all owners, principles, managers, employees, subcontractors, subsidiaries, vendors, entertainers, direct/indirect associates of PHI, for any/all categories of losses and/or damages incurred including but not limited to due to rescheduling of the event, accidents-losses-damages while attending the event, while on any property that is directly or indirectly associated with the event, for any product or service consumed, used, purchased or has made direct and/or indirect contact with during or after the event. The same understand and agree that this event is designed for adults over the age of 18 years old. By bringing any person younger, you personally accept any and all liabilities, losses and/or damages for the same that may arise out of the content and/or happenings in all categories during this event. No weapons of any kind will be permitted. The Terms and Conditions are subject to change and/or be updated at anytime necessary by PHI, and these updates/changes shall also be immediately applicable to and accepted by any and all event attendees, personnel, subcontractors, entertainers, and or vendors who have agreed prior to the updates and/or changes. It is recommended that you stay updated on potential future terms and conditions changes.
Terms & Conditions agreed by each Exhibitor/Vendor
Forklift assistance is available to our Exhibitor/Vendors for pallet assistance for unloading your booth items and delivering to your booth location inside the Expo Building. Forklift driver is NOT available, due to insurance restrictions, to load/unload items on or off of the forklift, so bring necessary man power along for this process. Forklift assistance is charged at $12.50 per 15 minutes or $50 per hour. Exhibitor/Vendors MUST pre-schedule/pay this forklift time in advance at the same time of booth ordering. Date/Time/Door Number schedules for unloading will be e-mailed to ALL Exhibitor/Vendors four weeks prior to the show. In the event a scheduled loading time is missed, we will make every effort to rotate you into the existing unloading process, but you will automatically me moved to end of day schedule. Exhibitor/Vendor unloading at the door is limited to ten minutes per 100 sq. ft. booth size. Example: 10’x10’ has 10 minutes, 10’x15’ has 15 minutes, 10’x20’ has 20 minutes, and so on.
Food and Drink sales are strictly prohibited.
Electric power is offered at $27.50 per 15 amp outlet. Please place your order at time of reservation.
Additional on-site manpower/general labor, is available to Exhibitor/Vendors at $42.65 per hour. This additional assistance must be ordered and paid for 30 days in advance of the first day of show.
Any Exhibitor/Vendor requesting to provide a private contractor to perform services in Exhibitor/Vendor booth Space must complete and submit a security & background check form along with contractors valid Certificate of Insurance for each, a minimum of 45 days prior to the first day of the Show. Any private contractor without the appropriate approved documentation submitted on its behalf will not be allowed access to the Show Floor. All private contractors are subject to approval by Show Management. All private contractors are responsible for adhering to all rules and regulations and shall refrain from placing an undue burden on the Official Show Contractors by interfering, in any way, with the Official Show Contractors’ work. Private contractors will not solicit business on the Show Floor at any time. Private contractors will not, disrupt the orderly conduct of business by any of the Official Show Contractors or impair the efficient installation and dismantling of the exhibition or the private contractor will immediately cease such disruption and/or be removed from the Show Floor. Show Management will have the final decision in such instances.
Booth reservations are made on-line with credit/debit card payments in full at time of reservation.
Booth space carpeting/flooring options are offered thru a 3rd party vendor. That contact info is available upon request.
Booth rental includes one 8’ folding table, two chairs, 8’ tall x booth width black drape backdrop, 4’ tall side drapes and small waste basket.
Forklift loaded trash bins will be made available to remove limited booth set up trash. Forklift driver is NOT available to assist in loading trash due to insurance restrictions.
Booth signage height restrictions are maximum 8’ high from floor level. Overhead signs above 8’ high must be approved 30 days in advance of first day of show by Show management. Additional installation charges may apply.
Exhibitor/Vendor may use sound equipment in their booths so long as the noise level does not disrupt the operations of neighboring exhibitor/vendors. Speakers and other sound devices should be positioned so as to direct sound into the booth rather than into the aisle. The noise level within an exhibit must not exceed 90 decibels as measured from the aisle immediately in front of the booth. No music (live or recorded) is allowed in any booth without permission of Show Management. Show Management is not responsible for the Exhibitor/Vendor licensing for the use of music in any form during the show.

Large LED screens in the main concert fairgrounds are available and offer incredible additional marketing opportunities, so please ask for more information and pricing.
The Exhibitor/Vendor agrees that it will compensate the Holmes County Fairgrounds (HCF) for any expense resulting from either injury or damage to the physical property of the HCF caused by the Exhibitor/Vendor or its employees, agents, licensees or contractors arising from the use by the Exhibitor/Vendor of the Exhibit Space at the HCF, including, but not limited to, the installation or removal of any Exhibits into or out of the exposition area. Any item or equipment which the HCF or Show Management deem necessary to protect the HCF building, equipment or furniture will be at the Exhibitor/Vendors expense.
Exhibitor/Vendor agrees, as a condition of eligibility to exhibit at the Show, that all aspects of its Exhibit, including, but not limited to, its material, installation and operation, must comply with all requirements of the Ohio State Fire Marshall and Ohio State laws and regulations relating to fire safety.
Exhibitor/Vendor accepts the basic booth layout as outlined on the Show Floor Plan provided by Show Management and agrees that all displays and furnishings for use in its Booth Space will be at the Exhibitor/Vendors sole expense. The Exhibitor/Vendor further agrees not to erect signs, partitions or to display products in such a way as to occasion injury or disadvantageously affect the display of other exhibitors. The Exhibitor/Vendor agrees to comply with all Show Management restrictions and regulations for booth space. Plans for any questionable exhibits should be submitted by the Exhibitor/Vendor for Show Management approval a minimum of 60 days prior to the first day of the show.
Exhibitor/Vendor agrees that installation of Exhibits for use in the Booth Space will be conducted based on the “Move-In Schedule” provided to the Exhibitor/Vendor by Show Management. Setup will be coordinated by the Show Floor Manager. Dismantling will not begin before 2:00 p.m., Saturday, July 10, 2021. Any Exhibitor/Vendor found to be in violation of this policy will be subject to a $250 fine. No trucks, tractors, trailers or any rolling stock will be started or moved from the exhibition area before 4:00 p.m. Saturday July 10, 2021. The Exhibitor/Vendor further agrees that it will vacate the exhibition area no later than 12:00 midnight, Sunday, July 11, 2021. It is the Exhibitor/Vendors sole responsibility, at its sole cost, to install and put in place its Exhibit before the opening of the Show and dismantling and removing it immediately after the closing of the Show as set forth above. Exhibitor/Vendor agrees that any deviation from the above installation and dismantling schedule and procedure must be approved in advance in writing by Show Management. Any excessive trash/debris left behind by Exhibitor/Vendor at end of show shall subject Exhibitor/Vendor to a minimum clean up fee of $500.
Exhibitor/Vendor agrees that it will only use the Booth Space to display and demonstrate products and services directly related to and utilized by the trucking industry unless otherwise approved prior by Show management. The Exhibitor/Vendor agrees that its booth Space has been assigned for its exclusive use and it will not display any product or service other than those manufactured, distributed, or sold by it in its regular course of business. Any activity within a booth Space must have a sufficiently large area to accommodate the audience without causing any blockage of aisles. The Exhibitor/Vendor further agrees that all demonstrations, displays, and distribution of promotional materials will be confined to its booth Space and that the Exhibitor/Vendors personnel will not canvass or solicit business outside of its booth space. Booth Space assigned to, but not occupied by, the Exhibitor/Vendor at the start of the show, or for any time thereafter, shall revert back to Show Management to be re-leased and occupied in any manner and for such purposes as Show Management may choose. In such event, all funds theretofore paid by the Exhibitor/Vendor in relation to the booth Space shall be retained by Show Management as liquidated damages. Any and all losses or damages of any kind incurred by Exhibitor/Vendor in this situation are the sole responsibility and liability of the same.
When selecting your booth location, please include your 1st, 2nd & 3rdchoices as booths are selling quickly due to the limited space available. Maximum single booth size is 20’x20’ for one business.
Expo building is fully climate controlled with Air conditioning. Restrooms, food and drinks are available inside the Expo Building.
Sponsorship packages are available upon request. Any equipment or apparatus producing noise, vibration or odor that could be detrimental to neighboring exhibits or guests is prohibited. Plans for any questionable exhibits should be submitted by the Exhibitor/Vendor for Show Management approval a minimum of 60 days prior to the first day of the show or within two (2) weeks of Show Management’s acceptance of the Exhibitor/Vendor Application, whichever is earlier.
Exhibitor/Vendor agrees to maintain, for the duration of the Show, including move-in and move out dates, General Liability coverage with a limit of at least $1,000,000 per occurrence and a $2,000,000 aggregate limit. A valid Certificate of Liability Insurance must be provided to Show Management at least 30 days prior to the opening of the show. Holmes County Fairgrounds at Harvest Ridge and Piney Hollow Investments LLC must be named as additional insured. Certificate Holder should be Piney Hollow Investments LLC.
Exhibitor/Vendor agrees to comply with the accompanying Terms and Conditions & Show Rules and Restrictions, which are made a part of the agreement by reference and fully incorporated herein.
Should any of the provisions of this Agreement be declared or determined by any court to be illegal or invalid, the validity of the remaining parts, terms or provisions shall not be affected thereby and said illegal or invalid part, term or provision shall be deemed not to be a part of this Agreement.
This Agreement shall in all respects be interpreted, enforced and governed under the laws of the State of Ohio.
The terms and conditions of the booth rental agreement sets forth the entire agreement between the Exhibitor/Vendor and Show Management and fully supersedes any and all prior agreements, warranties or understandings between the parties.
In addition to all previously mentioned Terms and Conditions, the Exhibitor/Vendor agrees to abide by the following Show Rules and Restrictions:
The distribution of complimentary tickets during the three (4) days of the Show, on the grounds of the HCF, is strictly prohibited.
If the Exhibitor/Vendor wishes to hang any object, such as a sign, from the ceiling immediately above its Exhibit Space, said item must be approved 30 days in advance by Show Management and must be hung by the Show Management Personnel. Additional charges may apply.
Any distribution of literature or samples shall be restricted to materials directly related to the services or equipment of the Exhibitor/Vendor. Such distributions shall be made only from the Exhibitor/Vendor booth Space.
Exhibitor/Vendor will not place promotional stickers on any portion of the HCF property or on attendee’s badges.
Promotional helium-filled balloons and any and all food items are not permitted in the exhibition area without prior written permission of Show Management.
No exhibit, performance or event presented at the Show shall be photographed, videotaped, broadcast or recorded for commercial use, sale, or distribution of any kind without the prior written consent of Show Management. Show Management is authorized to record and use audio/visual materials and photographs taken at the Show.
Exhibitor/Vendor personnel must be clothed in acceptable attire and must restrict their activities to their own Exhibit Space.
Exhibitor/Vendor understands that designated official Show contractors are responsible for their area of operation and any outside contractor or worker must operate with the concurrence of the Official Show contractor(s) and Show Management. Exhibitor/Vendor provided contractors MUST provide Liability and Workman’s Compensation Insurance Certificate prior to any work being performed on HCF property.
Exhibitor/Vendor is responsible for obtaining all necessary licenses, permissions and permits to use music, photographs, written materials or any other materials protected by intellectual property laws in the Exhibitor/Vendor booth Space. The Exhibitor/Vendor is prohibited from displaying, demonstrating or distributing promotional materials for any product which is considered by Show Management, at its sole discretion, to infringe upon the intellectual property rights, including patent, copyright and trademark rights, of another individual or entity. Exhibitor/Vendor is further prohibited from displaying, demonstrating or distributing promotional materials for any counterfeit product or any product which is otherwise deemed by Show Management, at its sole discretion, to be deceptively or illegally marketed. Show Management has the right to impose sanctions on the Exhibitor/Vendor at its sole discretion including, but not limited to, immediate removal of the Exhibitor/Vendor product, displays and/or promotional materials without refund to the Exhibitor/Vendor for any funds already paid; loss of the Exhibitor/Vendor booth Space without refund to the Exhibitor/Vendor for any funds previously paid; loss of consideration for preferred Exhibit/Vendor Space at future Shows; and a prohibition on the Exhibitor/Vendor from exhibiting at future Shows. All questions regarding intellectual property issues related to the Exhibitor/Vendor booth Space should be addressed with Show Management prior to the first day of the Show. If intellectual property issues arise during the Show, such issues should be promptly directed to Show Management. Exhibitor/Vendor agrees that Show Management is responsible for all aspects of the Show and shall have full power in the interpretation and enforcement of the Show Rules and Restrictions set forth in all Terms and Conditions. All matters not covered by the foregoing shall be determined by the final judgment of Show Management.
Exhibitor/Vendor, on behalf of itself and its officers, directors, employees, agents, contractors, licensees, patrons, guests, assigns, parents, subsidiaries, successors, heirs, personal representatives, executors, and administrators, agrees as follows:
Exhibitor/Vendor waives and releases any and all rights and claims for any injuries, losses, damages and liabilities of any kind, including, but not limited to, bodily injury and death and property damage, arising out of or relating to the Exhibitor/Vendors participation in and exhibition at the Show, against Show Management and its officers, directors, employees, agents, contractors, licensees, patrons, guests, assigns, parents, subsidiaries, successors, heirs, personal representatives, executors, and administrators (hereinafter referred to as “PHI”). Exhibitor/Vendor agrees to indemnify, defend, and hold the PHI harmless from and against any claims, suits, actions, injuries, losses, damages, liabilities, costs, expenses (including attorney’s fees), judgments and penalties arising out of or relating to the Exhibitor/Vendors participation in and exhibition at the Show.
Show Management shall provide a security detail during all hours of the Show, but Show Management does not assume responsibility for the loss of and/or damage by fire, theft or any other cause to the Exhibitor/Vendors property. The Exhibitor/Vendor agrees to have an attendant present and in charge of the Exhibitor/Vendors booth Space at all times during the Show’s exhibition hours.
Exhibitor/Vendor will not assign, share, or sublet its booth Space or any part thereof, to a third party, either with or without charge, without prior written permission of Show Management.
Show Management has the exclusive right to determine, at its sole discretion, the eligibility of any potential Exhibitor/Vendor for inclusion in the Show and may reject the request of any potential Exhibitor/Vendor not deemed to be in keeping with or appropriate to the purpose of the Show. The Exhibitor/Vendor, by submitting its request for booth space, agrees to abide by all of the Terms and Conditions to Lease Exhibit Space and the Show Rules and Restrictions listed herein.
